RUPS — Rapat Umum Pemegang Saham / General Meeting of Shareholders

The supreme organ of an Indonesian limited liability company. It appoints and dismisses the Board of Directors and the Board of Commissioners, approves the annual accounts, and decides the application of profit.

articles of association Articles 8–10 (convening, quorum, resolutions), gms director appointment (the circular resolution admitting the President Director).

Why it matters

Resolutions may be taken without a meeting — by circular written consent of all shareholders — under UU 40/2007 Pasal 91. That is how the President Director entry package is executed.
