Perihal: Keterangan mengenai penyetoran modal Perseroan dan realisasinya dalam bentuk aset tanah

Yang bertanda tangan di bawah ini, bertindak untuk dan atas nama PT. CYBER VALLEY ESTATE, suatu perseroan terbatas penanaman modal asing yang berkedudukan di Desa/Kelurahan Gesing, Kecamatan Banjar, Kabupaten Buleleng, Provinsi Bali ("Perseroan"), dengan ini menerangkan hal-hal sebagai berikut.

1. Dasar pendirian Perseroan.

Perseroan didirikan berdasarkan Akta Pendirian Nomor 01 tanggal 04-01-2022 (empat Januari duaribu duapuluh dua), dibuat di hadapan Notaris Dewa Ayu Agung Dewi Utami, S.H., M.Kn., berkedudukan di Denpasar, Bali. Anggaran Dasar Perseroan terakhir diubah dengan Akta Pernyataan Keputusan Rapat Nomor 13 tanggal 14-04-2025 dan Akta Pernyataan Keputusan Rapat Nomor 02 tanggal 01-07-2025.

2. Modal Perseroan.

Modal dasar Perseroan berjumlah Rp 20.100.000.000,00 (duapuluh milyar seratus juta Rupiah), terbagi atas 8.040 (delapan ribu empatpuluh) lembar saham, masing-masing bernilai nominal Rp 2.500.000,00 (dua juta lima ratus ribu Rupiah).

Dari modal dasar tersebut, 100% (seratus persen) atau seluruh 8.040 lembar saham dengan nilai nominal seluruhnya Rp 20.100.000.000,00 telah ditempatkan dan disetor penuh dengan uang tunai melalui kas Perseroan oleh para pendiri pada saat pendirian, sebagaimana dinyatakan dalam Akta Pendirian Nomor 01 tanggal 04-01-2022.

3. Susunan pemegang saham.

Berdasarkan Akta Pernyataan Keputusan Rapat Nomor 13 tanggal 14-04-2025, susunan pemegang saham Perseroan adalah sebagai berikut:

4. Realisasi modal dalam bentuk aset tanah.

Modal disetor tersebut telah direalisasikan oleh Perseroan ke dalam perolehan aset tanah yang seluruhnya terletak di Desa Gesing, Kecamatan Banjar, Kabupaten Buleleng, Provinsi Bali. Perolehan tersebut dilakukan melalui jual beli di hadapan Pejabat Pembuat Akta Tanah, dengan pembayaran Bea Perolehan Hak atas Tanah dan Bangunan (BPHTB) serta Pajak Penghasilan (PPh) atas pengalihan hak atas tanah, dan telah terdaftar atas nama Perseroan pada Kantor Pertanahan Kabupaten Buleleng.

Perolehan tersebut didasarkan pada Akta Jual Beli sebagai berikut:

Seluruh Akta Jual Beli tersebut di atas dibuat di hadapan Pejabat Pembuat Akta Tanah Kabupaten Buleleng, antara lain Komang Nunuk Sulasih, S.H., M.Kn.

5. Kesimpulan.

Modal ditempatkan dan disetor penuh Perseroan sebesar Rp 20.100.000.000,00 telah disetor seluruhnya dengan uang tunai pada saat pendirian, dan telah direalisasikan ke dalam aset tanah seluas 319.320 m² (tiga ratus sembilan belas ribu tiga ratus dua puluh meter persegi) atau lebih kurang 31,9 hektar, yang terdaftar atas nama Perseroan. Aset tanah tersebut merupakan aset tetap Perseroan dan tidak dibebani hak tanggungan.

6. Lampiran.

Salinan Akta Jual Beli sebagaimana tercantum dalam angka 4 di atas dilampirkan pada surat ini dan merupakan bagian yang tidak terpisahkan darinya.

Demikian surat keterangan ini dibuat dengan sebenarnya untuk dipergunakan sebagaimana mestinya.

Subject: Statement concerning the payment of the Company's capital and its realisation in land assets

The undersigned, acting for and on behalf of PT. CYBER VALLEY ESTATE, a foreign-investment limited liability company domiciled in Desa/Kelurahan Gesing, Kecamatan Banjar, Kabupaten Buleleng, Province of Bali (the "Company"), hereby states as follows.

1. Basis of incorporation.

The Company was established by Deed of Incorporation No. 01 dated 04-01-2022 (the fourth of January two thousand and twenty-two), drawn up before Notary Dewa Ayu Agung Dewi Utami, S.H., M.Kn., of Denpasar, Bali. The Company's Articles of Association were last amended by Deed of Meeting Resolutions No. 13 dated 14-04-2025 and Deed of Meeting Resolutions No. 02 dated 01-07-2025.

2. Capital of the Company.

The authorised capital of the Company is Rp 20,100,000,000.00 (twenty billion one hundred million Rupiah), divided into 8,040 (eight thousand and forty) shares, each with a nominal value of Rp 2,500,000.00 (two million five hundred thousand Rupiah).

Of that authorised capital, 100% (one hundred percent), being all 8,040 shares with an aggregate nominal value of Rp 20,100,000,000.00, was issued and fully paid in cash through the Company's treasury by the founders at incorporation, as recorded in Deed of Incorporation No. 01 dated 04-01-2022.

3. Shareholding.

Pursuant to Deed of Meeting Resolutions No. 13 dated 14-04-2025, the Company's shareholders are:

4. Realisation of the capital in land assets.

That paid-up capital has been realised by the Company in the acquisition of land assets, all situated in Desa Gesing, Kecamatan Banjar, Kabupaten Buleleng, Province of Bali. The acquisitions were effected by sale and purchase before a Land Deed Official (PPAT), with payment of the Duty on the Acquisition of Land and Building Rights (BPHTB) and of Income Tax (PPh) on the transfer of land rights, and are registered in the name of the Company at the Land Office of Kabupaten Buleleng.

The acquisitions rest on the following Deeds of Sale and Purchase:

All the above Deeds of Sale and Purchase were drawn up before Land Deed Officials of Kabupaten Buleleng, including Komang Nunuk Sulasih, S.H., M.Kn.

5. Conclusion.

The Company's issued and fully paid-up capital of Rp 20,100,000,000.00 was paid in full in cash at incorporation, and has been realised in land assets of 319,320 m² (three hundred and nineteen thousand three hundred and twenty square metres), approximately 31.9 hectares, registered in the name of the Company. Those land assets are fixed assets of the Company and are not encumbered by any security title (hak tanggungan).

Copies of the Deeds of Sale and Purchase listed in paragraph 4 above are attached to this letter and form an integral part of it.
