AKTA SEWA — SIMPLE FORM
1. Parties. PT CYBER VALLEY ESTATE, PT PMA, domiciled in Gesing, Banjar, Buleleng, Bali, NIB 2504220016017 (the "Landowner"), and [___] (the "Holder").
2. Plot. The parcel marked on the ground (patok) and described in the attached peta bidang, sinwood-[], ±[] m², part of HGB certificate No. 00048/Gesing.
3. Grant, term and quiet enjoyment. The Landowner leases the Plot to the Holder (hak sewa) for 25 years from signing, within the remaining term of the certificate. The Landowner warrants its right to lease the Plot and does not disturb the Holder's use while this deed stands.
4. Rent. The premium for the lease, as recited in this akta, is Rp [___] ([]% of the leasehold value), paid at signing. Where the premium is below 100%, the Holder pays in addition an annual rent of **Rp []** in the first lease year (the "Recited Rent") — the value at signing of the fixed quantities carried in Annex E (Century Index), converted at JISDOR on the signing date — and in every later lease year the amount Annex E (Century Index) derives from those quantities, reset on each anniversary within its collar and floor. Each year's rent is paid in 12 equal monthly instalments.
What the akta cannot recite. A notary and PPAT register a price in rupiah, not in units of an external index — Annex E (Century Index)'s quantities and its formula are the private mechanism the parties use to compute the Recited Rent, every later year's rent and the renewal price; they are not themselves stated as the unit of account in this akta. The rupiah amount of each later year is computed from Annex E (Century Index) at its reset, per UU 7/2011 on denomination and settlement.
5. Arrears. An instalment is in arrears 30 days after its due date. The Holder has 6 months from the first missed due date to clear the arrears or to assign the lease, the assignee taking over the rent. Arrears outstanding at the end of that period entitle the Landowner to terminate this akta by written notice; sums paid stay with the Landowner as the price of the time held.
6. Use. Lawful use consistent with the estate's published rules as at signing. No nominee arrangement (perjanjian pinjam nama); nothing in this deed simulates freehold for a foreign party.
7. Form and language. Executed as an akta before a notary / PPAT in Bahasa Indonesia and English; the Indonesian text prevails on discrepancy.
8. Law and disputes. Law of the Republic of Indonesia. Good-faith negotiation for 30 days, then arbitration under BANI rules, seat Denpasar, three arbitrators, in Bahasa Indonesia with an English translation of the award, as the sole forum on the merits; Pengadilan Negeri Denpasar for interim relief and enforcement.
